Terms of Service

By accessing or using any website, application, or service provided by Okans Group ("we", "us", or "our") — including OkansPort, Okans Properties, Okans Autos, and Okans Cuisine — you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy, which is incorporated herein by reference.

If you do not agree to these Terms, you must immediately cease all use of our services. These Terms constitute a binding legal agreement between you and Okans Group Limited, a company incorporated under the laws of the Federal Republic of Nigeria.

We reserve the right to update or modify these Terms at any time. Material changes will be communicated via the website or by email. Your continued use of our services after any change constitutes acceptance of the revised Terms.

You agree to use our services solely for lawful purposes and in accordance with these Terms. Specifically, you must not:

• Use any service in a manner that violates any applicable federal, state, or local law or regulation in Nigeria or any other applicable jurisdiction.
• Attempt to gain unauthorised access to any part of our platform, server, database, or related infrastructure.
• Transmit unsolicited commercial communications ("spam"), malware, viruses, or any code of a destructive nature.
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
• Engage in any conduct that restricts or inhibits any other user's use or enjoyment of our services.
• Use automated tools (bots, scrapers, crawlers) to access, harvest, or reproduce content from our platform without our prior written consent.
• Post, upload, or transmit any content that is unlawful, defamatory, obscene, fraudulent, or violates any third-party rights.

We reserve the right to suspend or terminate your access to our services immediately and without notice if we reasonably believe you have breached these Terms.

Certain features of our services require account registration. When creating an account, you agree to:

• Provide accurate, current, and complete information during registration and keep it updated.
• Maintain the confidentiality of your password and be responsible for all activities that occur under your account.
• Notify us immediately at hello@okansgroup.com if you suspect any unauthorised access to your account.
• Not share your account credentials with any third party.

We reserve the right to refuse registration, cancel accounts, or remove content at our sole discretion.

When you place an order or make a purchase through our platform:

• All prices are displayed in Nigerian Naira (NGN) unless otherwise stated. Okans Group reserves the right to change prices at any time before an order is confirmed.
• An order confirmation does not constitute acceptance of your order. Acceptance occurs when we dispatch the goods or formally confirm the service booking.
• Payments are processed via secure third-party payment gateways. We do not store full payment card details.
• For vehicle imports, property transactions, and catering events, specific payment schedules and deposit requirements will be communicated in a separate written agreement.
• Refund eligibility is governed by the specific return and cancellation policy applicable to each service division. Please refer to the relevant service page or contact us for details.

All content on our platform — including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software — is the property of Okans Group Limited or its content suppliers and is protected by Nigerian and international copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use our platform for your personal, non-commercial use only.

You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any material from our website without prior written consent from Okans Group.

"Okans Group", "OkansPort", "Okans Properties", "Okans Autos", "Okans Cuisine", and associated logos are trademarks of Okans Group Limited. Nothing in these Terms grants you any right to use our trademarks.

Our services are provided on an "as is" and "as available" basis without any warranty of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that our services will be uninterrupted, timely, secure, or error-free, or that defects will be corrected. While we strive to provide accurate product descriptions, pricing, and availability information, we do not warrant that such information is complete or error-free.

To the fullest extent permitted by applicable Nigerian law, Okans Group Limited and its directors, officers, employees, agents, and licensors shall not be liable for any:

• Indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of our services.
• Loss of profits, revenue, data, goodwill, or other intangible losses, whether based on warranty, contract, tort (including negligence), or any other legal theory.
• Damages resulting from unauthorised access to or use of our servers or any personal information stored therein, beyond our reasonable control.

Our total aggregate liability for any claim arising under or in connection with these Terms shall not exceed the total amount you paid to Okans Group in the twelve (12) months immediately preceding the claim.

Nothing in these Terms limits liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation.

Our platform may contain links to third-party websites, applications, or services. These links are provided for your convenience only. We do not endorse, control, or take responsibility for the content, privacy practices, or accuracy of any third-party websites.

Your use of third-party services is at your own risk and subject to the terms and policies of those third parties. We encourage you to read their terms of service and privacy policies.

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, including:

• The Companies and Allied Matters Act (CAMA) 2020
• The Nigeria Data Protection Regulation (NDPR) 2019
• The Federal Competition and Consumer Protection Act (FCCPA) 2018
• The Electronic Transactions Act and applicable CBN regulations

The courts of Lagos State, Nigeria, shall have exclusive jurisdiction over all disputes arising from or relating to these Terms or your use of our services, and you irrevocably submit to the personal jurisdiction of such courts.

We encourage you to contact us first to resolve any dispute informally. Please write to us at legal@okansgroup.com with a description of the dispute and your desired resolution.

If a dispute cannot be resolved informally within 30 days, the parties agree to submit the dispute to mediation administered by the Lagos Multi-Door Courthouse (LMDC) before initiating any litigation, except where immediate injunctive relief is required.

If mediation fails, either party may pursue the dispute in the courts of Lagos State, Nigeria, as specified under the Governing Law clause above.

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason — including if you breach these Terms. Upon termination, your right to use our services will cease immediately.

All provisions of these Terms which by their nature should survive termination shall survive, including intellectual property provisions, disclaimers of warranties, limitation of liability, and dispute resolution provisions.

You may terminate your account at any time by contacting us. Termination does not relieve you of any obligations incurred prior to the termination date.
